TERMS OF SERVICE


By commissioning the Artist, the Client agrees to the following terms:

1. ENGAGEMENTa. The Client agrees to provide clear and complete project requirements, references, and expectations before work begins.b. The Client grants the Artist non-exclusive permission to use, reference, and reproduce the Client’s character designs and intellectual property strictly for the purpose of completing the work.c. The Client confirms they have full authority to enter into this Agreement and act as the sole decision-maker and approval authority throughout the project.d. The Artist may use commercially licensed, royalty-free, or educational tools and materials in the production process.e. The scope of work, pricing, deliverables, and project details will be defined by the Artist in written form (email, Discord message, VGen platform, Google document, or similar format). Work will not begin until both parties agree to these details.f. The Artist reserves the right to refuse any commission for any reason, including content or subject matter.2. PAYMENTa. Payment options:I. 50% upfront and 50% after sketch approval

b. Work officially begins once the initial payment is received and the Artist confirms the project has entered production in writing.c. Payments are accepted via PayPal invoice only.d. Prices may vary depending on complexity, additional elements, or requested changes beyond the original agreed scope.3. TIMELINEa. Estimated completion time is 2 to 6 weeks depending on scope and current workload.b. The Artist will notify the Client of any significant delays.c. If delivery exceeds 7 days past the agreed deadline without prior notice or amendment, the Client may request clarification or refund consideration.d. Regular progress updates will be provided.e. Delays caused by lack of Client response may pause the timeline.f. If the Client does not respond within 7 consecutive days, the project may be placed on hold. Extended inactivity may result in project cancellation without refund.4. PROCESS & REVISIONSa. After payment, the Artist will provide initial sketches based on the Client’s description.b. During the sketch phase, up to 3 reasonable revisions are included.c. Once the sketch is approved, up to 2 minor revisions are included during the rendering phase.d. Major changes (pose, composition, perspective, character redesign) requested after sketch approval will incur additional fees.e. Additional revisions or new elements beyond the agreed scope will incur additional fees.f. Revisions may affect the project timeline.5. CANCELLATION & REFUNDSa. If the Artist is unable to complete the work due to unforeseen circumstances, a full refund will be issued.
Any partially completed work remains the property of the Artist and may not be used by the Client unless otherwise agreed in writing.
b. Refunds are determined by project stage, regardless of payment method:I. Before sketch phase begins: 100% refund
II. After sketch phase begins but before sketch approval: 50% of total retained
III. After sketch approval: 60% of total retained
c. Work is considered to have begun once the Artist initiates concept development, sketching, composition planning, or preparatory work and confirms production has started in writing.d. Any time spent on communication, planning, and concept development is considered billable work.6. RIGHTS & USAGEArtist Rightsa. The Artist retains full copyright and intellectual property rights to the Work unless otherwise agreed in writing.b. The Artist may display the Work and work-in-progress for portfolio, social media, promotional use, livestreams, or publications unless a written NDA or exclusivity agreement is in place.c. The Artist may sell prints or merchandise of the Work unless exclusive commercial rights are purchased by the Client.d. The Artist may reuse rejected concepts or sketches provided they do not infringe upon the Client’s protected intellectual property.Client Rightsa. The Client receives a non-transferable, non-exclusive license for personal use only.b. Personal use includes:
I. Social media display with credit
II. Profile pictures, banners
III. Personal prints
IV. Non-monetized website display
c. The Client may not:
I. Resell the Work
II. Modify or redistribute it
III. Use for AI training or datasets
IV. Mint as NFT
V. Claim authorship
VI. Use for commercial purposes without written agreement
d. Commercial rights require a separate written agreement and additional payment.7. FINAL DELIVERYa. Final files will be delivered in high-resolution PNG and JPG format via email or agreed platform.b. Full-resolution files will only be delivered after full payment is received.c. In the event of a payment dispute, chargeback, or fraudulent claim, all usage rights granted to the Client are immediately revoked.8. INDEMNIFICATIONThe Client agrees to indemnify and hold harmless the Artist against any claims, damages, or legal issues arising from misuse of the Work or breach of this Agreement.If the Work is not delivered due to Artist negligence, the Artist agrees to remedy the issue or issue an appropriate refund.9. CONFIDENTIALITYBoth parties agree not to disclose confidential information exchanged during the project, including personal data, financial information, business plans, or unreleased materials.10. ACCEPTANCEa. The Client confirms they are 18 years or older, or have legal guardian consent.b. This Agreement becomes effective upon the first payment or written confirmation of commission acceptance.Commercial rights are not included unless explicitly agreed upon in writing.
